This agreement applies as between you and Paudin NZ, of 880 Arthur Porter Drive, Hamilton, New Zealand, www.paudin.nz (hereinafter referred to as “Paudin NZ”, “we”, or “us”). Your agreement to comply with and be bound by these Terms of Service is deemed to occur upon your first use of the Services.

1. Intellectual Property
All content included on the website (unless uploaded by users), including but not limited to text, graphics, logos, images, videos, data compilations, and code, is the property of Paudin NZ or relevant third parties.

2. Basis of Order and Acknowledgement
All contracts are subject to these Terms of Service, excluding any other terms you may try to introduce.

You must be at least 18 years old or of legal contracting age in your jurisdiction.
A contract becomes binding only after our written confirmation.
We reserve the right to decline any order at our discretion.
If there’s a conflict between online pricing and our written confirmation, the latter prevails.
3. Product Descriptions and Pricing
We aim for accuracy, but errors may occur in descriptions or pricing.

Product colours may vary due to screen differences.
We reserve the right to update prices and details without prior notice, but changes won’t affect confirmed orders.
4. Order Refusals
We may refuse orders for reasons including:

Incomplete or fraudulent information
Pricing/description errors
Product unavailability
Suspected resale activity
If your order is rejected, we will notify you and issue a refund if payment was made.

5. Cancellation of Orders
Paudin NZ reserves the right to cancel an accepted order if:

Suppliers cannot fulfil the order
External events (e.g. natural disaster, IT failure) impact delivery
Errors in pricing/description are identified
You breach key terms
If cancelled after payment, a full refund will be provided.

6. Product Availability
We rely on external suppliers. If an item is unavailable:

We may withdraw it without notice
We are not liable for any resulting loss
7. Risk and Title
Risk passes to you on delivery.
Ownership of products remains with us until full payment is received.
We retain the right to reclaim products or take legal action for unpaid amounts.

8. Delivery Delays
While we aim for timely delivery, we cannot guarantee it due to:

Supplier stock fluctuations
Public holidays or peak seasons
Events beyond our control
We are not liable for any losses due to delivery delays.

9. Refunds
Refunds will be processed within 14 working days of approval.
Delays in receipt are subject to your bank’s processing times.
We are not liable for any loss resulting from refund processing delays.

10. Returns / Faulty Goods
Inspect goods immediately upon delivery.
Contact us within 48 hours if they are incorrect, damaged, or faulty.
To return:

Provide proof of purchase
Use original packaging if possible
You bear the cost of return unless the product is faulty
11. Damaged or Faulty Items
Email us with details and images of any fault.
We may offer:

Replacement
Repair
Refund (at our discretion)
We are not responsible for damage caused by misuse, neglect, or normal wear and tear.

12. Chargebacks
You agree to contact us before initiating a chargeback.
Unjustified chargebacks may result in blacklisting and legal action if necessary.

13. Warranty
We warrant that products are free from defects on delivery.
This warranty is void if:

The product is misused or altered
Instructions were not followed
The product shows normal wear and tear
We may cover return costs for valid claims and offer repair or replacement.
14. Limitation of Liability
To the maximum extent permitted by law, we are not liable for:

Claims made more than 1 year after discovery of the issue
Our total liability will not exceed the price paid for the affected product.
15. Account Accuracy

Refuse or cancel orders
Limit quantities per customer or household
You agree to provide and maintain accurate billing and contact information.
16. Privacy
We process your personal data in accordance with our Privacy Policy at www.paudin.nz.
If you provide data about someone else, you confirm you have their permission and indemnify us against any related claims.

17. Disclaimers
We make no warranties that:

Products are fit for a specific purpose
Information is error-free
The website will be secure and always available
18. No Waiver
A failure to enforce any right under these Terms does not constitute a waiver of that right.

19. Prior Terms
These Terms of Service supersede all prior terms unless explicitly stated otherwise.

All communications must be made via email and are deemed received on the next working day if sent on a weekend or public holiday.

21. Governing Law
These Terms of Service are governed by the laws of New Zealand.
